These Terms of Use (“Terms”) govern your access to and use of the website itsmartsolutions.llc and any related services offered by IT Smart Solutions LLC (“IT Smart Solutions,” “we,” “us,” or “our”). By visiting the Site or purchasing our services, you agree to be bound by these Terms. If you do not agree, do not use the Site or our services.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use our services. By using the Site, you represent that you meet these requirements.
2. Services We Provide
We specialize in building Minimum Viable Products (MVPs) for clients on a fixed-price basis, currently USD 1,099 for our all-inclusive package unless otherwise agreed in writing.
3. Quotes and Payment
All quotes are valid for 14 days unless stated otherwise.
Fifty percent (50 percent) of the fee is due upon project kick-off. The remaining 50 percent is due on delivery or launch, whichever occurs first.
Payments are processed through third-party providers such as Stripe; you agree to abide by their terms as well.
4. Client Responsibilities
To deliver on schedule you agree to:
Provide timely access to information, assets, and feedback.
Designate a single point of contact for approvals.
Pay invoices on or before the due date.
Failure to meet these responsibilities may delay delivery; such delays will not alter the payment schedule.
5. Intellectual Property
Upon full payment we assign to you all rights, title, and interest in the custom code, designs, and documentation we create for your project, except for (a) pre-existing proprietary tools, templates, or libraries and (b) open-source components that remain under their original licenses.
6. Confidentiality
Each party agrees to keep confidential all non-public information received from the other, using at least reasonable care, and to use such information solely for the purposes of the project.
7. Acceptable Use of the Site
You will not:
Violate any applicable law or regulation.
Attempt to gain unauthorized access to the Site or its systems.
Interfere with or disrupt the Site’s functionality.
We reserve the right to suspend or terminate access for violations.
8. Warranties and Disclaimers
We warrant that the delivered MVP will substantially conform to the agreed specifications for 30 days after launch (“bug-fix warranty”).
The Site and all services are otherwise provided “as is” and “as available.” We make no other warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the amount you paid to us for the project giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, lost profits, or loss of data.
10. Indemnification
You agree to defend, indemnify, and hold harmless IT Smart Solutions and its officers, directors, and employees from any claims, damages, or expenses arising out of your (a) misuse of the Site or Services, (b) violation of these Terms, or (c) infringement of any third-party rights.
11. Termination
Either party may terminate a project for material breach if the breach is not cured within 10 days after written notice. Sections 5, 6, 8, 9, 10, and 13 survive termination.
12. Changes to Services or Pricing
We may update services, features, or pricing at any time. Changes will not affect ongoing projects that have a signed agreement unless mutually agreed in writing.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, USA, without regard to its conflict-of-law provisions. Any dispute that cannot be resolved informally will be submitted to binding arbitration in New York County under the rules of the American Arbitration Association. Judgment on the award may be entered in any court of competent jurisdiction.
14. Changes to These Terms
We may revise these Terms from time to time. The “Last updated” date will indicate the most recent changes. Continued use of the Site or Services after any revisions constitutes acceptance of the updated Terms.
